Companies
We will guide you on the governance and ownership structure, including the use of alphabet share structures for private companies, and incorporation of sole trader businesses with appropriate valuation of the director’s loan.
Where you are registering a Community Interest Company (CIC) we’ll guide you on the drafting of the company’s articles and the structure (limited by guarantee or shares), as well as the deeper questions around control and mission.
Charities
Registration of a charity is a longer and more involved process. We have experience of registering new charities in Scotland and guiding clients through the requirements of the Scottish Charity Regulator (OSCR). In brief summary, these include:
- Meeting the charity test and demonstrating public benefit
- Identifying your specific charitable objects
- Choosing the appropriate legal structure and drafting of articles
- Preparing a strategic plan demonstrating the need for the new charity, who its beneficiaries will be, how it will be resourced and financed etc.
- Identifying a group of trustees with the appropriate skills and experience to govern the charity and complete trustee declarations
- Complete the standard application form (online process) and any follow up queries from the regulator
